Terms of Sale and Service

Draft pending legal review. This document describes how the platform actually works today, but it has not yet been reviewed by counsel. It is published so that nothing in the product refers to a document that does not exist; the wording may change.
These terms are an agreement between you and Backdoor Tickets (“we”, “us”), who operate this ticketing platform. They apply when you browse events, buy a ticket, or use any other part of the service.
By ticking the consent box at checkout you accept the version of these terms shown above. We record that version and the time you accepted it against your order.
Our role: we sell on the organizer's behalf
Every event on this platform is run by an independent organizer. The organizer is the seller of record for your ticket and is responsible for the event itself — putting it on, running it, admitting you, honouring its own refund policy, and everything that happens at the venue. We provide the ticketing technology and collect payment as the organizer’s limited payment agent.
Payment for a card purchase is routed to the organizer’s own connected payment account. Our fee is taken from the organizer’s proceeds, not added to your total.
This means your contract for admission is with the organizer. Where these terms limit our responsibility, they do not limit the organizer’s.
Tickets and your order
- A ticket is a revocable licence to attend the event named on it, subject to the organizer’s and the venue’s rules. It is not property and confers no other rights.
- Your order is complete when payment succeeds and we email your tickets. Until then, seats held in your cart are a reservation, not a sale, and may be released.
- A reservation to pay cash at the door holds your seats but is not paid for. The organizer may release it if you do not arrive.
- We may cancel an order and refund it where it was placed in error, priced incorrectly, or obtained in breach of these terms.
- Buying does not create an account. Your tickets are tied to the email address you gave us, and you can have them re-sent to that address at any time.
Prices, taxes and payment
Prices are set by the organizer and shown in US dollars. The total you see before you pay is the total we charge: the ticket price, less any discount you applied, plus any donation you chose to add. We do not add a booking fee, service fee or any other buyer-side charge.
The platform does not currently calculate sales, admissions or amusement tax. Where such a tax applies to an event, it is the organizer’s responsibility, and any amount the organizer has built into the ticket price is included in the price you see.
Card payments are processed by Stripe. Your card details are entered directly into Stripe’s payment form and are never received or stored by us.
Refunds, cancellations and changes
Refunds are governed by the organizer’s refund policy for the event you are buying. That policy is shown on the event page and again in checkout before you pay, and the version you were shown is recorded with your order.
If the organizer cancels an event outright, you are entitled to a refund of what you paid for your tickets. If an event is rescheduled or materially changed, the organizer’s policy governs whether your ticket is honoured at the new date or refunded.
Donations you chose to add are voluntary and are not refundable separately from a refunded order.
We process refunds on the organizer’s instruction, back to the original payment method. If you believe an organizer is not honouring the policy you were shown, contact us at support@backdoor.tools.
Acceptable use
You agree not to:
- buy tickets using automated means, or in quantities above the limit set for an event, or by evading that limit;
- resell a ticket for profit where the organizer prohibits resale;
- copy, forge or share a ticket or its QR code in a way intended to admit more people than you paid for;
- probe, scrape, overload or interfere with the service, or attempt to access data that is not yours;
- use the service to break the law or to impersonate anyone.
We may void tickets obtained in breach of this section, without refund, and may refuse service.
Intellectual property
The platform, its software, design and branding belong to us or our licensors. Nothing here transfers any of it to you. You may use the service only as these terms allow.
Event names, images, descriptions and other material uploaded by organizers belong to them or their licensors. Organizers grant us a non-exclusive, worldwide, royalty-free licence to host, display and distribute that material for the purpose of listing and selling their events, and to show it in previews and communications about the platform.
If you believe material on the platform infringes your copyright, our copyright and DMCA policy says where to send a notice, what it has to contain, and what we do about it (#416).
Disclaimers
The service is provided “as is”. To the fullest extent allowed by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
We do not control events and do not warrant that any event will take place, will take place as advertised, or will be as described by its organizer.
Nothing in these terms excludes any liability that cannot lawfully be excluded, including for fraud, or any right you have as a consumer that cannot be waived.
Limitation of liability
To the fullest extent allowed by law, neither we nor our officers, employees or suppliers are liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of your use of the service or your attendance (or non-attendance) at an event.
Our total liability to you for any claim relating to an order is limited to the amount you paid us for that order. Our total liability for all other claims is limited to one hundred US dollars.
Indemnity
You agree to indemnify us against claims, losses and reasonable legal costs arising out of your breach of these terms, your misuse of the service, or your violation of any law or third-party right.
Disputes
Most problems are quickest to solve directly. Before starting any formal proceeding, contact us at support@backdoor.tools and give us thirty days to resolve the matter.
A dispute about an event itself — admission, cancellation, the conduct of the event — is between you and the organizer, though we will help where we can.
Please do not start a card chargeback before contacting us. A chargeback for a ticket you were issued and the policy you agreed to may be contested with the record of your order, including the refund policy and terms version you accepted.
Governing law and venue
These terms are governed by the laws of [jurisdiction to be confirmed by counsel], without regard to its conflict-of-laws rules. Any proceeding that is not resolved as described above will be brought in the state or federal courts of that jurisdiction, and you and we consent to those courts.
This clause is a placeholder. Until counsel confirms it, we will not rely on it to move a dispute you bring in good faith.
Suspension and termination
We may suspend or end your access to the service if you breach these terms, or where we must to comply with the law or to protect the service or other users. You may stop using the service at any time. Tickets you have already been issued remain valid unless they were obtained in breach of these terms.
Sections that by their nature should survive — intellectual property, disclaimers, liability, indemnity, disputes and governing law — survive termination.
Changes to these terms
We may update these terms. Each version carries the version identifier and effective date shown at the top of this page, and the version in force when you bought is the version that governs your order — a later change does not apply retroactively to a purchase you already made.
Material changes take effect for new purchases when the updated version is published here, and you accept them by ticking the consent box at your next checkout.
